Provide legal advice and deal management
Consult with clients to determine nature of advice requiredEvaluate facts and apply to legal positionAdvise accordinglyDeal management / project managementAnalyse the commercial aspects of the transactions.Ensure agreements and documents are legally accurate and mitigate commercial risksEnsure agreements / documents are compliant with latest legal developments.Consult regularly with team on proposed structures, developments and legal implications thereof.Manage merger applications. (Competition law)Ensure deals are properly executed.Draft and verify complex commercial contracts / agreements / due diligence investigations
Attend due diligence assessments relating to company's acquisitions.Perform legal due diligence assessment on deals.Establish the nature of agreement required.Draft, vet and negotiate a range of complex commercial agreements and documents e.g. MOU’s, term sheets, M&A agreements, sale of shares, sale of business, security documents prospectuses, notices etc.Verify final draft and discuss with client.Advise on execution and provide guidelines.Evaluate existing agreements and propose changes.Approve final contracts / agreements for signatures.Ensure application and compliance to Governance and legislative requirements.Negotiation and settlement of commercial disputes
Attend to resolution of disputes by means of mediation, arbitration of litigationDraft settlement agreements.Ensure implementation.Provide commercial litigation services
Comprehensive preparation and evaluation of litigation / claims / applications.Instruct attorneys to take appropriate legal action.Manage process and ensure compliance to legal procedure.Legal cost budget management.Monitor and evaluate legal accounts and advise accordingly.Ensure legal and procedural compliance
Identify and research relevant legislation.Advise on requirements for laws.Prepare, execute and monitor compliance specific programme.Report to and liaise with regulators.Training of role players.Ensure that relevant policies and procedures are in line with legislation.Requirements
Qualifications : BCom Law / LLB / Admitted Attorney. Candidates with experience as a practicing conveyancer and notary will enjoy preference.Requirements : 8 years in legal specialised commercial practice / commercial in-house counsel environment. Excellent drafting and writing skills are essential.Candidates drafting skills and knowledge shall be practically tested during the interview process.Law / Legal jobs
