We are seeking a strategic and commercially pragmatic Legal & Compliance Manager to join our clients Cape Town office. This is a unique opportunity to act as the primary legal guardian for the entire organisation balancing rigorous legal standards with the enablement of dynamic business growth. You will be instrumental in safeguarding the business by managing complex contract lifecycles developing robust risk mitigation frameworks for emerging markets and ensuring compliance across international operations. Responsibilities

• Own and manage the end-to-end contract lifecycle (CLM) across the organisation from initial bid stage through execution renewal and close-out ensuring alignment with risk appetite.
• Draft negotiate and finalize a diverse range of commercial agreements including client contracts complex partnership/consortium agreements and subcontractor mandates.
• Develop implement and continuously enhance legal risk management frameworks tailored to the operating context in emerging and international markets.
• Act as the primary advisor on data protection and privacy compliance guiding the implementation of governance and security obligations (including POPIA compliance).
• Design maintain and monitor comprehensive compliance programmes internal controls and policies to proactively mitigate regulatory and reputational risk.
• Perform essential company secretarial functions including preparing for Board meetings documenting resolutions and maintaining statutory records.
• Manage the annual Broad-Based Black Economic Empowerment (B-BBEE) verification process and provide strategic guidance on its implications in procurement and partnerships.
• Translate complex legal requirements into clear practical guidance and deliver targeted training sessions to consulting bid and delivery teams to foster a culture of compliance.

Requirements

Must-Haves (Essential)

• Admitted as a practising attorney or advocate in the High Court of South Africa (LLB required).
• Minimum of eight (8) years of progressive experience in a corporate or commercial legal environment.
• Demonstrated expertise in drafting and negotiating complex contracts ideally within professional services or project-based sectors.
• Solid working knowledge of South African data protection legislation (POPIA) and relevant international privacy regimes.
• Proven experience developing and implementing compliance programmes internal controls and risk management frameworks.
• Direct practical experience managing B-BBEE compliance processes.
• Experience supporting company secretarial duties and corporate governance structures.

• Exposure to public sector donor-funded or development sector contracts.
• Experience working within a multinational or globally operating company structure.
• Strong analytical skills with the ability to identify workflow inefficiencies and drive process improvements within legal operations.
