We are seeking a commercially astute Senior Legal Counsel to join our clients team reporting directly to the Executive Head of Legal & Governance. Responsibilities:

• Act as the primary corporate commercial legal advisor on a diverse range of matters with a strategic focus on private debt structures private capital deployment and complex renewable energy transactions (e.g. solar projects).
• Drive the drafting negotiation and final execution of critical commercial agreements transaction documents and associated legal arrangements.
• Provide crucial deputy company secretarial support managing statutory compliance corporate resolutions board/shareholder processes and maintaining all necessary governance records.
• Actively participate in board investment committee and governance meetings ensuring accurate minute-taking decision tracking and follow-through on action items.
• Advise on complex debt security arrangements risk allocation and enforcement considerations related to transaction structures.
• Manage the transactional execution lifecycle including conditions precedent requisite approvals and signature management.
• Serve as a key liaison between internal teams (Investment Finance Compliance) and external advisors (Auditors External Counsel).
• Support ongoing due diligence KYC processes and counterparty information requests to maintain stringent corporate record accuracy.
• Handle ad-hoc commercial disputes or contentious issues as they arise leveraging a strong foundation in commercial law.

Requirements

Must-Haves (Essential)

• Admitted Attorney with a minimum of 4 years Post Qualification Experience (PQE).
• Demonstrable significant exposure to complex corporate/commercial transactions ideally including private equity debt finance or structured finance environments.
• Strong working knowledge of the Companies Act corporate governance principles statutory registers and board/shareholder approval processes.
• Proven ability to draft negotiate and implement high-value commercial agreements.
• A commercially minded resilient and proactive approach with the ability to balance legal risk against the demands of a fast-paced business environment.
• Experience working in a dynamic environment with the ability to take ownership and operate independently.

Nice-to-Haves (Beneficial)

• Direct experience advising on renewable energy transactions including PPAs EPC/developer agreements and funding structures.
• Exposure to conveyancing and bond registration processes.
• Previous experience in litigation dispute resolution or contentious commercial matters.
• Previous in-house legal experience.
