Corporate Governance Counsel

About the Role

Our client is seeking a seasoned Corporate Governance Counsel to oversee governance frameworks and compliance in Stellenbosch. This crucial role ensures that the company operates with the highest standards of ethical conduct and regulatory adherence. You will advise the board of directors and senior management on corporate governance best practices, fiduciary duties, and compliance matters. Responsibilities include managing board meeting logistics, maintaining statutory registers, and staying abreast of changes in corporate law and governance requirements. This is an excellent opportunity for a detail-oriented legal professional to play a key role in shaping the company's governance structure and ensuring long-term sustainability.

Key Responsibilities

• Develop, implement, and maintain robust corporate governance policies and procedures.
• Advise the Board of Directors and committees on governance best practices and legal obligations.
• Ensure compliance with the Companies Act, King IV Report, and other relevant regulations.
• Manage the company's statutory registers and filings.
• Oversee the administration of board and shareholder meetings.
• Provide guidance on directors' duties, conflicts of interest, and ethical conduct.

Requirements

• Admitted Attorney of the High Court with 7+ years of experience, specializing in corporate law and governance.
• In-depth knowledge of South African corporate legislation and governance principles (e.g., King IV).
• Experience advising boards of directors and C-suite executives.
• Strong analytical and problem-solving skills, with meticulous attention to detail.
• Excellent communication and interpersonal skills, with the ability to influence stakeholders.
