Legal Advisor - Mergers & Acquisitions

About the Role

Our client is seeking an accomplished Legal Advisor with significant experience in Mergers & Acquisitions (M&A) to join their corporate legal team in Randburg. This high-impact role is responsible for managing and executing M&A transactions from inception to completion, providing critical legal expertise throughout the deal lifecycle. You will work on complex domestic and international deals, collaborating closely with internal teams and external advisors to achieve successful outcomes. This is an exciting opportunity for an M&A specialist in Gauteng to contribute to the strategic growth of a major enterprise.

Key Responsibilities

• Manage all legal aspects of M&A transactions, including due diligence, deal structuring, and negotiation of sale and purchase agreements.
• Draft and review transaction-related documents, such as term sheets, confidentiality agreements, and shareholder agreements.
• Coordinate with internal departments and external counsel on legal, financial, and operational due diligence.
• Advise on regulatory approvals and compliance requirements related to M&A activities.
• Support post-acquisition integration efforts from a legal perspective.
• Conduct legal research on relevant M&A laws and market practices.

Requirements

• Admitted attorney with a minimum of 6 years of experience, with a strong focus on M&A and corporate law.
• Demonstrated experience managing end-to-end M&A transactions.
• Proficiency in drafting and negotiating complex transaction agreements.
• Strong understanding of corporate finance, securities law, and deal structuring.
• Excellent analytical, negotiation, and project management skills.
