About the Role
Our client is seeking a highly analytical and experienced Corporate Governance Specialist to join their team in Pretoria. This role is crucial for ensuring the company operates with the highest standards of ethical conduct, compliance, and accountability. You will be responsible for developing, implementing, and maintaining robust corporate governance frameworks, policies, and procedures. Working within a hybrid model, you will collaborate with the board of directors, senior management, and various departments to uphold best practices and advise on governance-related matters, playing a key role in protecting the company's reputation and ensuring long-term sustainability.
Key Responsibilities
- Develop, implement, and monitor corporate governance policies and procedures.
- Advise the board of directors and management on corporate governance best practices and regulatory changes.
- Ensure compliance with the Companies Act, King IV report, and other relevant legislation.
- Manage board meeting logistics, including preparing agendas, taking minutes, and distributing materials.
- Oversee compliance with disclosure requirements and statutory filings.
- Conduct internal audits and risk assessments related to corporate governance.
Requirements
- Relevant degree in Law, Business Administration, or a related field.
- Minimum of 5 years of experience in corporate governance, company secretarial functions, or compliance.
- In-depth knowledge of South African corporate law, King IV principles, and Listing Requirements.
- Strong understanding of risk management and internal controls.
- Excellent analytical, communication, and interpersonal skills.
- Experience with board portal software and governance management tools is advantageous.
