Senior Legal Counsel - Mergers & Acquisitions

About the Role

Our client is seeking a seasoned Senior Legal Counsel with a specialization in Mergers & Acquisitions to join their esteemed legal department in Stellenbosch . This critical role involves managing complex M&A transactions, providing strategic legal guidance on corporate structuring, due diligence, and regulatory compliance. You will collaborate closely with the executive team and external advisors to drive successful deal closures and mitigate associated risks. The position offers a unique opportunity to work on high-value transactions in the picturesque and academically rich environment of Stellenbosch , contributing to the company's strategic growth and development through expert legal counsel.

Key Responsibilities

• Lead and manage all legal aspects of Mergers & Acquisitions , including due diligence, negotiation, and transaction structuring.
• Draft, review, and finalize all M&A related agreements, such as share purchase agreements and asset purchase agreements.
• Provide expert legal advice on corporate governance , securities law, and regulatory compliance relevant to transactions.
• Identify and assess legal risks and develop strategies to mitigate them throughout the transaction lifecycle.
• Liaise with external legal counsel, financial advisors, and regulatory bodies.
• Ensure post-transaction integration legal requirements are met effectively.

Requirements

• Admitted attorney with a minimum of 10 years of post-qualification experience, with a strong focus on M&A .
• Extensive experience in leading complex cross-border and domestic transactions.
• In-depth knowledge of corporate law, company secretarial practice, and relevant legislation.
• Exceptional negotiation, drafting, and analytical skills.
• Proven ability to manage multiple high-stakes projects simultaneously.
• Experience working in a hybrid model and collaborating effectively with geographically dispersed teams in and around Stellenbosch .
