Legal Counsel - Commercial

About the Role

Our client is seeking a seasoned Legal Counsel with a specialization in commercial law to join their prestigious legal team in Sandton. This role requires a candidate with extensive experience in complex contract negotiations, corporate transactions, and regulatory advisory services. You will play a pivotal role in safeguarding the company's commercial interests and ensuring robust legal frameworks are in place to support business growth. Key Responsibilities

• Lead negotiations and draft complex commercial agreements, including supply, distribution, and joint venture agreements.
• Provide expert legal advice on mergers, acquisitions, divestitures, and other corporate restructuring activities.
• Manage and advise on all aspects of dispute resolution and litigation, liaising with external counsel.
• Ensure company-wide compliance with all applicable laws, regulations, and corporate policies.
• Develop and implement legal strategies to support business objectives and mitigate risk.
• Advise on intellectual property matters and manage the company's IP portfolio.

Requirements

• Admitted Attorney with a minimum of 10 years of post-qualification experience, with a strong focus on commercial and corporate law.
• Proven expertise in drafting and negotiating complex international and domestic commercial contracts.
• In-depth knowledge of corporate finance, M&A, and corporate governance.
• Excellent strategic thinking, negotiation, and communication skills.
• Ability to manage multiple high-stakes projects simultaneously and provide clear, concise advice to senior management.
• Experience working within a major corporate legal department or top-tier law firm.
