Legal Officer - Corporate Governance

About the Role

Our client is seeking a meticulous and well-organized Legal Officer to focus on Corporate Governance , supporting their remote workforce and operations linked to Soweto . This role is vital for ensuring the company uphms robust governance practices, compliance with statutory requirements, and ethical conduct across all levels of the organization. You will be responsible for maintaining corporate records, advising on governance policies, and facilitating board meetings. The ideal candidate is detail-oriented, possesses a strong understanding of corporate law, and can effectively manage governance functions remotely, contributing to the company's integrity and compliance framework within Gauteng .

Key Responsibilities

• Ensure compliance with the Companies Act and other relevant corporate legislation.
• Maintain statutory registers and ensure timely filings with regulatory authorities.
• Prepare agendas, minutes, and resolutions for board and committee meetings.
• Advise on corporate governance best practices and policies.
• Assist in the implementation of internal controls and compliance frameworks.
• Support the legal team with corporate transactions and reorganizations as needed.
• Conduct legal research related to corporate governance and compliance matters.

Requirements

• Admitted Attorney or suitable legal qualification with at least 5 years of experience in corporate law or company secretarial practice.
• Strong knowledge of the South African Companies Act and King IV principles of corporate governance.
• Experience in minute-taking, drafting board resolutions, and managing corporate records.
• Excellent organizational skills and meticulous attention to detail.
• Proficiency in legal research and a good understanding of compliance requirements.
• Effective communication skills, enabling remote collaboration and reporting for the Soweto -based operations.
