Legal Counsel - Corporate & Compliance

About the Role

Our client is seeking a highly skilled and strategic Legal Counsel with a focus on Corporate and Compliance matters to join their fully remote legal team, headquartered in Pretoria. This role demands a proactive approach to advising on complex corporate transactions, regulatory adherence, and risk management frameworks. You will be essential in safeguarding the company's legal integrity and supporting its strategic objectives across all operations. Key Responsibilities

• Provide expert legal guidance on corporate structuring, mergers and acquisitions, and other strategic transactions.


• Develop, implement, and maintain robust compliance programs to ensure adherence to all relevant laws and regulations.


• Review and advise on commercial agreements, intellectual property matters, and employment law issues.


• Manage regulatory filings, governmental inquiries, and interactions with regulatory bodies.


• Conduct legal risk assessments and develop mitigation strategies for identified risks.


• Prepare legal opinions, policy documents, and training materials for various business units.

Requirements

• Admitted Attorney or Advocate with a minimum of 8 years of relevant legal experience.


• Demonstrated expertise in South African corporate law, securities law, and regulatory compliance.


• Experience in managing complex M&A transactions and corporate governance.


• Strong analytical, negotiation, and problem-solving capabilities.


• Excellent written and verbal communication skills, with the ability to advise stakeholders at all levels.


• Ability to work independently and collaboratively in a remote team environment.
