Key Responsibilities

• Lead and manage legal aspects of M&A transactions, including due diligence, deal structuring, negotiation, and drafting of acquisition agreements, merger agreements, and related documentation.
• Advise senior management and business teams on legal risks and opportunities associated with potential transactions.
• Manage post-closing integration activities from a legal perspective.
• Provide legal support for other corporate finance activities, such as equity financings and joint ventures.
• Draft, review, and negotiate a wide range of commercial agreements essential for business operations.
• Ensure compliance with securities laws, corporate governance requirements, and other relevant regulations in multiple jurisdictions.
• Collaborate with internal and external legal counsel to achieve optimal transaction outcomes.
• Develop and implement internal policies and procedures to support efficient deal execution and risk management.
• Conduct legal research on complex issues related to M&A and corporate law.
• Manage relationships with external legal advisors and service providers effectively.

Requirements

• Admitted Attorney with a minimum of 8 years of relevant experience, with a significant focus on M&A transactions, preferably within a top-tier law firm or as in-house counsel for a multinational corporation.
• Proven expertise in structuring, negotiating, and closing complex M&A deals.
• Strong knowledge of corporate finance, securities law, and contract law.
• Exceptional drafting and negotiation skills.
• Ability to work independently, manage multiple projects simultaneously, and meet demanding deadlines in a remote setting.
• Excellent analytical, problem-solving, and strategic thinking abilities.
• Superior communication and interpersonal skills, with the ability to effectively collaborate with diverse teams across different time zones.
