About Our Client
Our client is a dynamic law firm headquartered in the UK, renowned for its specialist expertise in investment fund formation and venture capital. They have significant experience advising managers on the establishment of their EIS, IHT, ECF, and GP / LP funds, as well as listed VCTs, investment trusts, and REITs. They have also helped launch numerous ISA and SIPP / SSAS-eligible debt investment products. Their goal is to deliver the most marketable and manageable fund structures by blending innovation with deep market familiarity.
The Role
The successful candidate will join a high-performing team, providing expert advice on fund structuring and venture capital transactions. You will play a crucial role in advising fund managers on the launch of new products and guiding both investors and companies through the intricacies of funding rounds.
Key Responsibilities
- Advising managers on the structuring, establishment, and marketing of a wide range of investment funds and products.
- Drafting, reviewing, and negotiating key fund documentation, including limited partnership agreements, prospectuses, and investment management agreements.
- Managing all aspects of venture capital funding rounds for both issuer (company) and investor clients.
- Conducting and overseeing legal due diligence processes for both fund formations and investments.
- Providing strategic legal advice on corporate governance, fund regulations, and capital structures.
- Building and maintaining strong relationships with fund managers, founders, and investors.
Qualifications & Experience
A qualified attorney with a minimum of four (4) years of post-qualified experience in corporate, Banking and Finance, or investment funds law from a large or reputable firm.Experience in venture capital transactions is essential; experience in fund formation is highly desirable.Qualification as a UK Solicitor is highly advantageous. However, the firm is committed to supporting the right candidate in obtaining their UK qualification through the Solicitors Qualifying Examination (SQE) pathway.Exceptional drafting skills and meticulous attention to detail.Strong commercial acumen and the ability to provide pragmatic, actionable legal advice.A proactive and self-motivated individual capable of managing a demanding workload with autonomy.What We Offer
