The PwC South Africa Technology and Innovation Centre (SATIC) is a service delivery centre serving PwC UK LLP and is an independent member of the PwC international network of firms. By joining SATIC you will be based in Johannesburg, South Africa, and you will be part of the PwC Entity Governance and Compliance (EGC) team which is located in the UK across several locations. The teams focus on executing deals, variety of transactions which can include post deal transactions activity and organization wide transformation programmes. You will primarily work on project-based assignments, which will include corporate transactions and reorganizations, legal entity rationalization projects as well as providing specialist regulatory advice and corporate governance support to our clients. While based in Johannesburg, you will work closely with all team members in the UK.
Role and Responsibilities
We are looking for Newly Qualified to 3-year PQE South African admitted lawyers who have broad and general corporate law and transactional background to join this busy and friendly team at Senior Associate level.
- Handle a wide variety of corporate transactions and projects, often involving detailed technical legal work including but not limited to, UK business restructuring projects (e.g., pre- and post-deal carve outs, legal entity simplification projects and reorganisations, cash repatriation exercises, post merger activity and entity migrations / conversions), variety of transactions which can include post deal transactions, Legal Due Diligence (buy and sell side), Entity management, etc
- Draft a wide range of legal documentation for transactions governed by the laws of England and Wales.
- Coordinate and collaborate with other PwC legal teams in the Legal network, across other jurisdictions.
- Support multi-disciplinary project teams with the coordination and implementation of transactions.
- Use and develop an understanding of efficient project management tools and legal technology to support the delivery of our work.
- Collaborate with other PwC teams outside of legal, such as tax, accounting and deals advisers, gaining deeper insights into the business rationale and commercial context of the work we do.
- Support the UK’s team practice’s growth through the delivery of our services to an exceptional standard and assisting our clients fulfil their commercial objectives.
- Building relationships with clients and PwC professionals, whilst working on global matters under appropriate supervision.
- Support the implementation and management of transactions with significant responsibility, and client interaction, in a supported learning framework.
- Participating in business development opportunities and networking activities, which will include the creation and amendment of business development materials, responding to ‘requests for proposal’ (RfPs) and ‘requests for information’ (RfIs).
Training
You will be upskilled to handle transactions governed by the laws of England and Wales through our comprehensive training programme which will provide you with the necessary knowledge, understanding and skills in English corporate law and corporate governance fundamentals (e.g., distributions, share capital maintenance and capital reductions).
You will also have the opportunity to attend future training that is provided to the team which may cover relevant legal and governance updates as well as broader tax, accounting and related topics that impact our clients.
Requirements
NQ to 3 years PQE. Although individuals with 3-4 years PQE will still be considered.Excellent attention to detail.A qualified attorney in South Africa or equivalent common law jurisdiction.Excellent academic background.A solid understanding of general corporate law, commercial, governance, compliance practice and experience within either a private practice law firm or in-house corporate legal team.Expertise in drafting and reviewing a broad range of corporate legal documents (Board and Shareholder Resolutions, subscription letters, registry forms).Experience of intra-group corporate transactions and solvent business restructuring work - ranging from significant multi-territory reorganization projects to smaller intra-group transactions.Strong organizational skills and experience of taking on significant levels of responsibility on corporate transactions, including the management and coordination of local legal and governance teams and external advisors.An interest in working in a variety of corporate areas, intra-group transactions and regulatory advisory support.Strong client service skills and experience with dealing with clients directly.Primarily a team player but also able to work under their own initiative.Clear, articulate and confident in written and verbal communication skills.Willingness to get involved in business development and networking activities.A desire to network and build relationships within PwC and with clients.Business development experience – responding to RFI’s and RFP’s.Experience of working with non-legal advisors.Experience with using legal technology solutions (AI solutions, legal document automation, legal contract review solutionsSeniority level
